Effective Date: 15.04.2025 

 1. Acceptance of Terms 

By accessing or using the VKontrol platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). 
If you do not agree to these Terms, you may not use the Service. 

 2. Scope of Services 

VKontrol provides automated document processing services, including the extraction, structuring, and organization of financial data from invoices and related documents. 

The Service may also include integrations enabling CSV and Excel data exports. 
VKontrol reserves the right to modify or improve functionalities at its sole discretion. 

 3. Account Registration and Client Data 

To access the Service, you must create an account. 
You agree to provide accurate, complete, and updated information, including the names and company details of your clients where necessary. 

You are responsible for maintaining the confidentiality of your account and password. 

 4. Payment Terms 

The Service is provided on a subscription basis or per processed document basis, as specified in your selected plan. 
All fees are exclusive of VAT unless otherwise stated. 

VKontrol reserves the right to suspend or terminate access to the Service in case of unpaid invoices. 

 5. Data Usage and Privacy 

VKontrol processes uploaded documents and associated data solely for the purpose of providing the Service. 

For optical character recognition (OCR) and data extraction, we use Amazon Textract (Amazon Inc., USA) and OpenAI (OpenAI, USA) as subprocessors. Uploaded data is initially stored in a secure database for operational processing and user edits for approximately one (1) month, and subsequently archived securely in an encrypted storage system for the duration required under applicable compliance laws, typically eight (8) years. Upon account deletion, operational data is purged unless retention is legally required for compliance purposes (e.g., financial data archiving). All personal data is processed in accordance with the General Data Protection Regulation (GDPR). By using the Service, you also accept our Privacy Policy and Data Processing Agreement, which govern our handling of your data.  6. Service Availability VKontrol strives to provide continuous access to the Service but does not guarantee uninterrupted or error-free operation. 
No service-level agreement (SLA) is provided unless separately agreed in writing. While no formal SLA applies, VKontrol endeavors to maintain a monthly uptime rate of 99% or higher. Scheduled maintenance and unforeseen downtimes may occur without liability.  7. Warranties Disclaimer The Service is provided on an "as is" and "as available" basis. VKontrol makes no representations or warranties of any kind, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Without limiting the foregoing, VKontrol does not warrant that the Service will operate without interruptions, be error-free, or meet your specific requirements.  8. Limitation of Liability To the maximum extent permitted by applicable law, VKontrol shall not be liable for: Indirect, incidental, special, consequential, or punitive damages. Loss of profits, revenue, or data. Errors arising from the use of third-party services (Amazon Textract, OpenAI). 

In any case, VKontrol’s total liability shall not exceed the amount paid by you to VKontrol in the twelve (12) months preceding the event giving rise to the claim. 

This limitation of liability shall not apply to liability arising from breaches of data protection laws, including the GDPR. 

 9. Subprocessors 

You acknowledge and agree that VKontrol engages subprocessors (currently Amazon Inc. and OpenAI) for certain parts of the Service. 
VKontrol shall ensure that subprocessors comply with equivalent data protection obligations as set out in these Terms. 

 10. Permitted Use of the Service 

10.1 Users may only upload documents that fall within the scope of document types expressly supported by VKontrol, such as invoices, financial receipts, and accounting-related documents. 

10.2 The intentional upload of unsupported document types, including but not limited to contracts, identification documents, personal correspondence, or any content irrelevant to the Services, is strictly prohibited and may result in immediate termination of the account. 

10.3 Furthermore, users must not intentionally upload personal data beyond what is necessary for the intended and described processing purposes. Uploading unnecessary sensitive or special categories of personal data (e.g., medical records, biometric data, political opinions) is explicitly prohibited. 

10.4 VKontrol reserves the right to review uploaded documents to ensure compliance with these restrictions and to take corrective action, including termination of service, where necessary. 

 11. Governing Law and Jurisdiction 

These Terms shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, excluding its conflict of law rules. 

The District Court of Luxembourg City (Tribunal d'Arrondissement de Luxembourg) shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service, and each party irrevocably submits to the jurisdiction of such court. 

 12. Disclaimer Regarding AI Usage 

The Service uses artificial intelligence (AI) models, including large language models provided by OpenAI, to extract, analyze, and structure data from documents. 

While VKontrol endeavors to ensure a high degree of accuracy, no AI system can guarantee 100% precision. 

The extracted data is provided for informational purposes only and does not constitute legal, financial, accounting, or tax advice. Users must independently verify extracted data. VKontrol shall not be liable for any decision made based on the extracted information. 

Users remain solely responsible for verifying the accuracy and appropriateness of the extracted information before relying on it for any decisions. 

 13. Modifications 

VKontrol reserves the right to update or modify these Terms at any time. 
Material changes will be communicated via email or notice within the platform. 
Continued use of the Service constitutes acceptance of the updated Terms.
