1. Acceptance of Terms
By accessing or using the VKontrol platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.  

2. Scope of Services 
VKontrol provides GDPR-compliant, AI-powered document processing services. This includes (These services may be accessed via our web platform and official mobile applications (iOS and Android)): The extraction, structuring, and analysis of financial and accounting data from invoices and related documents. Workflow support features such as drag-and-drop uploads, mobile scanning, and integration-ready download formats (e.g., CSV, Excel). Secure data retention and dashboard access for document tracking. VKontrol reserves the right to adjust service functionalities at any time to improve performance or compliance.  

3. Account Registration and Client Data 
To use the Service, you must register for an account. You agree to: Provide accurate and complete information, including any client details if applicable. Maintain the confidentiality of your login credentials. Remain fully responsible for activity under your account.  

4. Payment Terms 
The Service operates on a subscription or usage-based pricing model as outlined in your selected plan. All prices exclude VAT unless otherwise specified. Failure to pay may result in suspension or termination of access.  

5. Data Processing and Privacy 
VKontrol processes uploaded documents solely to provide and improve the Service. All processing activities are governed by: Our Privacy Policy, our Data Processing Agreement The EU General Data Protection Regulation (GDPR) 

Data residency and subprocessors: Amazon Web Services (AWS): Documents are securely stored and processed in AWS S3 and Textract within the Frankfurt (EU) region.  

OpenAI: Financial value extraction is handled via OpenAI’s EU region infrastructure. All requests are routed to https://eu.api.openai.com, ensuring full data residency within the EEA. Uploaded data is retained for a maximum of 8 years in encrypted storage, unless legal requirements mandate otherwise. 

6. Mobile Device Usage and User Responsibility 
By using our mobile application, you acknowledge that you are responsible for securing your device and ensuring that no unauthorized person gains access to your VKontrol account. VKontrol is not liable for breaches resulting from compromised mobile devices or shared device usage.

 7. Availability of the Service 
We aim to maintain a monthly uptime of 99% or higher but do not guarantee uninterrupted service. Scheduled maintenance or unforeseen downtimes may occur. No SLA applies unless explicitly agreed.  

8. AI Disclaimer 
The Service uses artificial intelligence (AI) for document processing. While we strive for high accuracy, AI-based extraction may include errors. You remain responsible for reviewing the extracted data before use in financial or legal decisions. The output does not constitute legal, tax, or accounting advice.

9. Acceptable Use 
You agree not to: Upload unsupported file types (e.g., contracts, ID documents, sensitive personal data). Abuse the system with irrelevant or intentionally harmful uploads. Upload special categories of data as defined in Art. 9 GDPR without explicit agreement. Violation may result in immediate suspension or deletion of your account.  

10. Subprocessors and Data Security 
You acknowledge that VKontrol uses subprocessors (Amazon AWS and OpenAI) under strict GDPR-compliant contracts. All data transfers and processing remain within the European Economic Area. For technical encryption layers and infrastructure certifications, please refer to the Appendix – Data Encryption Overview.  

11. Limitation of Liability 
To the fullest extent permitted by law, VKontrol is not liable for: Indirect, incidental, or consequential damages Data loss due to external service providers Any damages exceeding the total amount paid in the 12 months preceding the incident Nothing in these Terms limits liability under mandatory GDPR provisions.  

12. Governing Law and Jurisdiction 
These Terms are governed by the laws of the Grand Duchy of Luxembourg. The courts of Luxembourg City shall have exclusive jurisdiction for any disputes.  

13. Changes to Terms 
We may update these Terms at any time. Major changes will be communicated via email or platform notice. Continued use of the Service constitutes acceptance of the updated Terms.
